JOB SUMMARY:
This highly visible, role reporting to the Chief Financial Officer and the Audit Committee provides the leadership and management of the Company’s internal audit function. This group is responsible for providing assurance to management that:
• The Company’s financial, operational and information technology internal control systems are effective.
• Financial reports and records are accurate and are prepared in accordance with Company policies.
• There are adequate safeguards over Company assets.
• The Company is in compliance with regulatory requirements.
• Employees have transacted business in accordance with the Company’s Standards of Conduct.
Successful candidate must have demonstrated ability and proven success in complex business environment, across functional organizational reporting lines and working with executive management as well as operating line management. Proven ability and experience leading and directing resources both outside direct line of control and within limited direct resources resulting in a high level of contribution and added value.
PRINCIPAL RESPONSIBILITIES, DUTIES & TASKS (listed in order from most important):
• Define the vision and direction for the Corporate Audit group. Develop and execute an Annual Audit Plan based on an assessment of the Company’s business, financial and information technology risks, which provides adequate coverage of all significant areas of exposure and satisfies all Sarbanes-Oxley requirements. Oversee all aspects of the execution of the Annual Audit Plan, ensuring resources are effectively deployed and costs controlled.
• Present to the Audit Committee the Annual Audit Plan, including quarterly updates and changes as required. Provide the Audit Committee with regular status reports on the status of the Company’s Sarbanes-Oxley compliance activities. Disseminate and share knowledge on internal control and internal audit best practices to both senior management and the Audit Committee.
• Evaluate the Company’s operations to ensure that policies, procedures and controls are sufficient, well designed and properly followed. Analyze data obtained for evidence of deficiencies in control, duplication of effort, extravagance, fraud, and lack of compliance with laws, regulations and management policies and procedures. Report irregularities uncovered by audits and report conflicts of interest and unethical conduct to senior management, to the Director Corporate Compliance and the Audit Committee.
• Maintain an in-depth understanding of the Sarbanes-Oxley Act 2002 and advise senior management on compliance requirements.
• Work closely with the finance personnel, executive management and external auditors to ensure efficient and effective testing and remediation internal controls affecting financial reporting. Ensure that appropriate test plans, process documentation, and control documentation is maintained.
• Ensure that there are effective working relationships between the Company and the outside auditors and that issues are satisfactorily resolved on a timely basis. Coordinate audit work with them and assist in minimizing the annual external audit fees.
• Ensure that audit findings are effectively communicated to management, that appropriate management responses are obtained and that timely corrective action is implemented. Provide recommendations to business units in order to improve internal control procedures and efficiency.
• Recruit, train and mentor a high-performance organization that will be seen as a training group for future financial leadership. Evaluate overall Department performance and provide appropriate feedback to staff.
• Exercise judgment and initiative in handling strategic issues of the Department, Finance and Company.
• Ensure that the department’s responsibilities and work is carried out in accordance with the Company’s Standards of Conduct.
• Participate as a member of the Corporate Compliance Committee and Disclosure Controls Committee.
• Must follow all state, local, and federal laws and regulations, as well as embrace Company’s core values and initiatives.
QUALIFICATIONS: The minimum qualifications listed below are representative of the knowledge, skills and abilities needed to perform this job successfully. Depending on the job level, equivalent job-related experience may be substituted for an educational degree.
• Strong communication skills and experience interacting at Executive level of public company.
• Excellent decision making, team building and leadership skills.
• Robust business acumen (knowledge of business drivers, finding solutions and knowledge of accounting, finance and other business areas) and ability to work through complex business matters evaluate options and develop practical solutions to complex issues.
• Strong understanding of internal control structures and concepts, financial accounting principles, US and International Accounting Standards, the Sarbanes-Oxley Act 2002, and information technology controls.
• Requires a proven record of financial and operating process development, financial leadership and professional initiative.
• Ability to manage multiple projects with competing demands on resources.
• Proven leadership/cross functional team skills and success cultivating relationships across complex organizations.
